1. Designation of parties
By subscribing to the WalktheChat Monthly Package, the party subscribing to the service (hereafter referred to as Party A) agrees to enter the following agreements with WALKTHECHAT (hereafter referred to as Party B or WALKTHECHAT)
2. Copyright infringement
Party A commits that all content and documents provided to WALKTHECHAT do not infringe on any third party’s rights. Should any infringement occur, Party A shall bear full responsibility. If any damage caused to the third party via use of the subject of the contract, Party A shall bear the responsibility;
3. Usage of trademark and logo
Party A agrees that once entering the agreement, it shall indicate that Party A authorizes WALKTHECHAT to use Party A’s name, Trade Mark, Domain name and Company LOGO and anything pursuant to the project performance. Such usages shall not undermine Party A’s interests;
4. Respect of Mainland Chinese law
When using the WeChat shop, Party A will comply with legal stipulations and social public interest. In particular, Party A will strictly abide by the following law and stipulation: International Computer Information Network Security Administration Approach, the People’s Republic of China Computer Information Network International Network Administration Interim Regulations>, Regulations on Protection of the People’s Republic of China, Computer Information System Security Telecommunications Regulations, NPC Standing Committee on Safeguarding Internet Security Decision, Internet Information Services, Internet Electronic Bulletin Service, Website for business of News Publication Interim Regulations, Internet Audio-visual Program Administration Approach, Interim Administration of Internet Culture Regulation> and other laws, stipulations, administrative regulations. Any harmful information that laws forbid to produce, copy, promulgate and broadcast related to the use of the WeChat shop shall not be allowed. Party A will obtain all relevant certification and approval if it intends to apply services to business activities that need verification and approval by government bureaus. Party A shall undertake full responsibility for any disputes caused by Party A’s violation of this article;
5. WeChat account
The WeChat account which will content post on should be provided by Party A. If Party A needs WalktheChat to provide a WeChat account, this should be part of a separate agreement.
6. Obligations of Party B
Party B shall provide service including content posting, editing title and formate article service. Party B will be able to post up to 30 articles per month for Party A.
Party B can’t modify or broadcast content via the account without the explicit permission from Party A to do so. By entering this contract, Party A allows Party B to post WeChat messages on Party A’s account.
7. Obligations of Party A
Party A is fully accountable in providing the pictures and content to be included in the WeChat articles. The text and pictures of the article should be provided at least 1 business day before posting date of the article.
8. Rupture of agreement
During the performance of the contract, if Party A wishes to terminate the agreement early, they will notify WALKTHECHAT 15 days in advance of termination. After termination of the agreement, WALKTHECHAT will cease using any intelectual property, logo or trademarks beloging to PARTY A.
9. Miscelaneous
Each party, who changes company name, contact information, mailing address or contact methods, should notify the other party with updated information in a timely manner. Otherwise, any consequences caused by such changes will be borne by the changing party;
